Permit Lead Feed Subscription Agreement
Version 2026-10-27-N · October 27, 2026 · America/Phoenix
Beowulf Ventures LLC, doing business as Permit Lead Feed, 7337 E Doubletree Ranch Rd, Suite 200-236, Scottsdale, AZ 85258 ("Provider," "we," "us"). This Subscription Agreement ("Agreement") governs every Permit Lead Feed subscription, paid or free, bought or enrolled through our online checkout or signup. It forms a binding contract when you accept it as described in Section 2. This page can be printed or saved. Displaying it does not by itself create a subscription, authorize a payment, or change a contract accepted under an earlier version. Historical samples are governed by the separately accepted sample-use terms in the Service Terms.
1 Definitions and order of precedence
"Subscriber" or "you" means the business identified at checkout or signup. "Service" means Provider's permit research, matching, organization, delivery, and related access for the plan you select. "Service Information" includes permit selections, alerts, contact details if supplied, reports, annotations, exports, screenshots, summaries, and derived prospecting lists obtained through the Service. "Authorized Users" are Subscriber's owners and employees who use the account for Subscriber. "Selected Trade" is the one trade Subscriber selects at checkout or enrollment. "Market" means the issuing jurisdiction, currently only the City of Phoenix, regardless of Subscriber's office city or chosen ZIP filters. "Plan" means Free Weekly, Delayed Daily, Premium Daily, or Premium Hourly. "Billing Period" means one month for a monthly plan or 12 months for an annual prepaid plan. "Checkout" means Provider's secure payment page at pay.permitleadfeed.com or another checkout Provider designates. "Order Confirmation" means the confirmation email sent after a successful checkout or signup. "Business day" excludes Saturdays, Sundays, and Arizona state holidays; other days are calendar days. References to leads describe public permit opportunities and inferred trade relevance, not verified homeowner requests or guaranteed available jobs.
If documents conflict, this order applies, only to the extent of the conflict: (a) a written amendment signed or expressly accepted by both parties; (b) the plan, trade, price, Billing Period, and renewal terms shown at Checkout and repeated in the Order Confirmation; (c) this Agreement; (d) the summary Service Terms. The public offer in effect when you buy, including the monthly first-month guarantee or the annual renewal-refund right, is part of your purchase, and a later webpage cannot withdraw it for that purchase. Purchase-order legends and other one-sided documents do not change this Agreement. Each subscription covers one business and one trade. Using separate subscriptions, accounts, or email addresses does not bypass the premium limit or the guarantee re-signup lockout.
2 Formation, activation, and delivery
Paid plans. There is no application, review, or approval step. This Agreement becomes binding for a paid plan when Subscriber (a) selects a plan, trade, and Billing Period, (b) affirmatively accepts this Agreement and the automatic-renewal and recurring-charge disclosure at Checkout, and (c) the first payment succeeds. The subscription and first Billing Period begin on the date of the successful payment, and access is activated promptly afterward, normally within minutes. Provider will send an Order Confirmation that states the plan, trade, Market, price, Billing Period, next renewal date and amount, how to cancel, the guarantee deadline for a monthly plan, and a link to the accepted version of this Agreement.
Declined or unfulfilled orders. Provider may refuse or cancel an order, before or immediately after payment, only if: premium capacity is unavailable at Checkout under Section 7.3; Subscriber is not a business or does not serve the Market; the business is within a guarantee re-signup lockout under Section 4.6; Provider reasonably suspects fraud or misuse; or law requires it. In that case Provider will tell Subscriber, provide no paid access, and start a full refund within a reasonable time, typically within 10 business days. A premium order that completes payment after the premium limit is reached is an Over-Limit Order and is handled only under Section 7.3, not this paragraph. If access is not working after a successful payment for reasons not caused by Subscriber, and Provider does not fix it within a reasonable time after Subscriber contacts info@permitleadfeed.com, Subscriber may cancel for a full refund at any time before access is working.
Free Weekly. This Agreement becomes binding for Free Weekly when Subscriber completes online enrollment and affirmatively accepts this Agreement. No payment method is collected. Free Weekly access begins when Subscriber first signs in with the email address used at enrollment. Registering an account without accepting this Agreement, joining a waitlist, requesting a sample, sending a contact request, or opting in to marketing does not create a subscription or reserve a premium place.
Delivery. Provider will use commercially reasonable efforts to supply the Service and delivery schedule for the purchased Plan, including Section 7. There is no minimum lead count, response rate, uptime percentage, support response time, or custom development obligation. Provider may reasonably update features and sources but may not materially reduce purchased coverage, delivery cadence, age protections, or the shared premium limit described in Section 7.3 during a paid Billing Period without consent or the termination and refund protections in Section 13. Source delays do not authorize release to a lower tier before its eligibility threshold.
3 License, ownership, and permitted use
During an active subscription, paid or free, Provider grants Subscriber a limited, nonexclusive, nontransferable, nonsublicensable right to access the Service and use Service Information solely to pursue business for Subscriber in the Selected Trade and Market. Subscriber buys the selected access tier, timing, and coverage, with no exclusive lead, customer, trade, or territory rights. Section 7 governs the distribution schedule and premium limit. Subscriber may make reasonable internal copies and keep expressly permitted exports in a private company CRM accessible only to Authorized Users. All other rights are reserved.
Provider and its licensors keep their rights in the platform, software, branding, original annotations, and protectable selection and arrangement of materials. Provider does not claim ownership of government records or the underlying public facts. The restrictions in this Agreement concern access to the Service and use of materials obtained through it. Subscriber may use information it can show it obtained independently and lawfully without using Service Information. Re-obtaining public records does not excuse an earlier breach or the redistribution of a Service-derived list.
4 Automatic renewal, cancellation, and refunds
4.1 Automatic renewal disclosure. PAID PLANS RENEW AUTOMATICALLY UNTIL YOU CANCEL. At the end of each Billing Period, your subscription renews for another Billing Period of the same length, and the payment method on file is charged the plan price then in effect, plus applicable tax, at the start of the renewal. Monthly plans renew and are charged every month on the same day of the month as the first successful payment (or the last day of a shorter month). Annual prepaid plans renew and are charged every 12 months on the anniversary of the first successful payment. Renewal continues until you cancel under Section 4.4. The price, Billing Period, and renewal terms are shown at Checkout before you pay and repeated in the Order Confirmation. Free Weekly is never charged and never converts automatically to a paid plan.
4.2 Monthly plans. Delayed Daily is $20 per month, Premium Daily is $99 per month, and Premium Hourly is $199 per month. Subscriber may cancel renewal at any time before the next renewal is processed. There is no advance-notice period and no cancellation fee. A cancellation submitted before a renewal stops that renewal even if Provider processes it later; any resulting erroneous charge will be refunded. Ordinary cancellation ends access at the end of the paid month, and that month is not prorated, subject to Section 4.6, express service-failure refunds, and mandatory law. A cancellation made after a renewal has been charged stops the following renewal. Access and any premium place continue through the paid period unless the guarantee or another provision ends them earlier.
4.3 Annual prepaid plans. Delayed Daily is $200 per year, Premium Daily is $990 per year, and Premium Hourly is $1,990 per year, per business and trade in the City of Phoenix market. The full amount is charged in advance for 12 months and automatically renews for successive 12-month terms until canceled. The initial annual payment is non-refundable and is not covered by the monthly first-month guarantee in Section 4.6, except for refunds under Section 2, billing-error correction, Provider breach or discontinuation under Section 13, or mandatory law. Renewal refund window: Subscriber may cancel and request a full refund of an annual renewal charge by emailing info@permitleadfeed.com no later than 30 days after that renewal payment; the request is timely if received by 11:59 p.m. America/Phoenix on the 30th day after the successful renewal payment. No reason or proof is required. Provider will start the full refund of that renewal charge, including associated tax and without fee deductions, within a reasonable time, typically within 10 business days; access ends and any premium place is released when the refund is processed. After that window, cancellation stops the next renewal and access continues through the paid term, with no full or prorated refund. An annual renewal refund does not trigger the three-month re-signup lockout. Renewal reminder: at least 30 days and no more than 40 days before each annual renewal, Provider will email Subscriber a reminder stating the renewal date, the amount to be charged, the renewal term, how to cancel online, and the renewal-refund window, and will give any additional or differently timed notice that applicable law requires. If Provider fails to send the reminder, Subscriber may cancel and receive a full refund of that renewal charge at any time within 60 days after the renewal payment. Missing a reminder never reduces a cancellation or refund right.
4.4 How to cancel. Subscriber cancels a paid subscription online, at any time and without contacting anyone, by signing in with the email used at Checkout and selecting Cancel subscription at My account > Subscription (https://permitleadfeed.com/account/subscription). This is the only way to cancel, except as stated in this Section. No retention offer, call, survey, or approval step is required. Cancellation is effective when successfully submitted, regardless of when it is processed or acknowledged. Provider will send an email confirming the cancellation and its effective date, typically promptly; a missing or late confirmation does not invalidate the cancellation. Fallback: if Subscriber cannot sign in, Subscriber may reset or set up a password from the sign-in page. If Subscriber still cannot sign in, or the Subscription page is not working or does not show the subscription, Subscriber may email info@permitleadfeed.com and Provider will help Subscriber cancel; if Provider receives that email before a renewal date, the cancellation is treated as made on the date the email was received. Refund requests: canceling renewal alone does not request a guarantee or renewal refund. A refund under Section 2, 4.3, or 4.6 is requested by email as that Section describes, and a guarantee or renewal refund ends the subscription as that Section states, whether or not Subscriber also cancels online. Other messages do not cancel: unsubscribing from marketing email, pausing feed email, removing a payment method, a notice under Section 18, and any other email or message do not cancel a subscription, except as stated in this Section. This does not limit termination rights under Section 13. No text message to Provider's text number, (602) 581-7635, cancels a subscription or requests a refund, whatever it says. Texting STOP, CANCEL, or another opt-out keyword, or asking by text to cancel, stops text messages only. Paid cancellation does not silently enroll the business in Free Weekly.
4.5 Price and term changes. Prices are fixed for the Billing Period already paid. Provider will email Subscriber at least 30 days before a monthly plan renews at a higher price and at least 60 days before an annual plan renews at a higher price or with a material change to its terms. A change applies only to renewals after that notice, and Subscriber may avoid it by canceling before the renewal. Material changes to the renewal commitment, cancellation rights, or dispute terms require Subscriber's affirmative agreement. A website posting alone does not change an accepted subscription. If required notice or agreement is missing, the prior price and terms govern the renewal. A monthly plan is never converted into an annual plan without Subscriber's affirmative choice at Checkout.
4.6 Monthly first-month money-back guarantee and re-signup lockout. The guarantee covers the first monthly payment for Delayed Daily, Premium Daily, or Premium Hourly. It does not cover annual prepaid plans, which follow Section 4.3. If Subscriber has not closed a lead from its permit feed (meaning it has not signed a contract for, or been paid for, work with a customer first identified through Service Information), it may cancel and request a full refund of its first monthly payment by emailing info@permitleadfeed.com and asking for both cancellation and a refund. The request is timely if received by 11:59 p.m. America/Phoenix on the 30th day after the first successful monthly payment; the Order Confirmation states that deadline. Provider relies on Subscriber's request and requires no proof of unsuccessful outreach, questionnaire, minimum usage, or exact wording. Upgrades, downgrades, added accounts, or replacement billing details do not restart the 30-day window for the same business. The guarantee refunds the first monthly payment only, not later upgrade or renewal charges; unauthorized, erroneous, and otherwise refundable charges remain refundable under their own rules.
A guarantee cancellation ends access when the request is received, stops all further renewals, and releases any premium place. Provider will start a full refund of the first monthly payment, including associated tax, within a reasonable time, typically within 10 business days, to the original payment method where practicable, without deducting processing or cancellation fees. Re-signup lockout: after a guarantee cancellation, the same legal business may not subscribe to any plan for three calendar months from the effective cancellation date (the same date three months later, or the last day of that month if there is no such date). Using a different email address, account, or representative does not bypass the lockout, and Provider may refuse or refund a checkout that does. No place is held; all 20 premium places may be taken when the business returns. Ordinary cancellation, annual renewal refunds, billing-error refunds, mandatory refunds, and refunds for Provider breach do not trigger the lockout. Amounts already refunded for the same charge are credited to avoid double recovery.
4.7 Free Weekly. Subscriber may stop Free Weekly at any time by turning off feed email on the My account page or by using the unsubscribe link in any feed email. Free Weekly is never charged. Provider may change or end Free Weekly on reasonable notice, or promptly for security or misuse reasons.
5 Fees, payment authorization, processing, and taxes
Subscriber shall pay the price shown at Checkout for the selected plan and Billing Period, in US dollars, in advance. No trial, discount, setup fee, or usage charge applies unless clearly disclosed at Checkout. Additional trades, markets, or services require a separate subscription.
By completing Checkout and checking the recurring-charge consent, Subscriber authorizes Provider and its payment processors to charge the payment method provided for the first payment, each automatic renewal at the then-current price under Section 4.5, plan changes Subscriber selects, and applicable taxes, until Subscriber cancels. This authorization does not permit Provider to collect disputed damages or any amount not described here. Payments are processed by Stripe through Provider's billing platform (HighLevel/LeadConnector). Provider does not receive or store full card numbers. Subscriber must keep billing details current. Provider will send a receipt for each charge.
Failed payments. If a renewal payment fails, Provider may retry the charge and will email Subscriber. If payment is not completed within 10 days after that notice, Provider may suspend access, and if still unpaid after a further 10 days, may end the subscription. No late fee, interest, or failed-payment fee applies. Removing a card or reversing a charge does not by itself cancel the subscription; use Section 4.4 to cancel.
Subscriber is responsible for applicable transaction taxes, excluding taxes on Provider's income, payroll, or property. Subscriber should report billing errors to info@permitleadfeed.com within 60 days after the charge so Provider can investigate and correct them; this does not waive rights that cannot be waived or claims for unauthorized charges. Good-faith card disputes remain available, and Provider asks Subscriber to contact it first so it can resolve the issue quickly. Fees are non-refundable except under Section 2 (declined or unactivated orders), Section 4.3 (annual renewal refunds), Section 4.6 (monthly guarantee), billing-error correction, Section 13 (Provider breach or discontinuation), any credit Provider agrees to, or mandatory law. These refunds are not reduced by the liability cap or disclaimers.
6 Company-only use; no resale or sharing
Subscriber shall not directly or indirectly sell, resell, rent, license, trade, donate, forward, publish, distribute, or otherwise make Service Information available to another business or outside person, whether for money, referrals, reciprocal favors, or nothing. Subscriber shall not provide lead-generation benefits to affiliates, sister companies, friends, relatives, other contractors, or other trades unless Provider has consented in writing. For example, a fencing subscriber may pursue its own fencing work but may not pass a Service-derived address or opportunity to a landscaper.
Subscriber shall not share credentials with outside persons, operate a pooled subscription, provide outside access through an inbox or CRM, sublicense the account, run a referral or lead-brokerage service, build or supply a competing lead database, or cause another person to do what Subscriber may not do. Rewording, summarizing, or stripping branding from information does not avoid these restrictions. Bulk extraction, automated scraping, access-control bypass, harmful code, interference with the platform, and reverse engineering (except where law makes this restriction unenforceable) are prohibited. Public displays, and AI or third-party tools that retain or expose Service Information for their own independent use, are not permitted.
Authorized Users must use individual credentials where supported and act only for Subscriber. Subscriber is responsible for their compliance and must promptly remove access when a user leaves or no longer needs it. Outside sales agents, marketing agencies, subcontractors, and integrations need Provider's written consent before accessing lead information; permitted processors may act only for Subscriber, must be bound by equivalent restrictions, and receive no independent marketing or resale rights.
After Subscriber secures a customer engagement in the Selected Trade, it may share the minimum project information reasonably needed for a subcontractor to perform that engagement, subject to confidentiality and no independent marketing use. Subscriber may discuss a prospective project with the prospect itself and may make legally compelled disclosures under Section 9.
7 Access tiers, premium limit, and staged distribution
7.1 Public records; no exclusivity. Permit information comes from public City of Phoenix records that anyone may obtain. Every plan is nonexclusive. Multiple businesses in the same trade may receive the same permit, one permit can match several trades, and competitors may obtain the same records from the city or other services. The 20-business premium limit is per Selected Trade per Market, shared across both premium plans and all ZIP filters. It is not 20 per plan or per ZIP, is enforced at Checkout as described in Section 7.3, and does not grant ownership of a lead, customer, territory, or public record, or any right to exclusivity. Phoenix is the only current Market; contractors based elsewhere may subscribe if they serve Phoenix.
7.2 Premium delivery. Premium Daily provides a daily digest and same-day access to newly available matching records after processing. Premium Hourly checks and sends on the hour, every hour, 24 hours a day, including weekends and holidays, only when new matching records exist. Both share premium-group access to permits less than 14 days old. Provider cannot deliver a record before the city publishes usable data, and issuance and publication may differ. Premium describes the access tier, not a guarantee that a record was issued that day. Hourly may receive a record before Daily. Empty emails are skipped. Delivery times and channels are described on the plan page before purchase. Source and transmission delays may affect receipt; Provider remains responsible for the purchased processing cadence and the remedies in Sections 11 and 13.
7.3 Shared premium limit. Provider limits active Premium Daily and Premium Hourly access, combined, to 20 distinct businesses per Selected Trade per Market, and enforces that limit at Checkout: Checkout for a premium plan is offered only while fewer than 20 businesses hold premium access in that trade and Market, and a place may be held briefly during Checkout. One legal business counts once in a trade and Market regardless of users or a Daily-to-Hourly upgrade; an independently subscribing affiliate counts separately. Paid-period access after ordinary cancellation still occupies a place until access ends; a guarantee cancellation releases it immediately. Promotions, relabeled trades, or intermediaries may not bypass the limit. A public availability count reflects active paid memberships, may be cached, and is not a reservation.
Limit is a target, not a guarantee. The limit is a target Provider enforces at Checkout, not a promise that a trade will never exceed 20 businesses. Simultaneous or near-simultaneous orders, cached availability, or processing delays can occasionally let a premium order complete after the limit has been reached (an "Over-Limit Order"). Provider will not reopen premium Checkout in that trade and Market until fewer than 20 businesses hold premium access, counting any Over-Limit Order Provider keeps.
Provider's options for an Over-Limit Order. An Over-Limit Order is activated normally. Within 30 days after its first successful payment, Provider may, in its discretion, either keep it in place or cancel it. To cancel, Provider will email Subscriber's account email address. The cancellation takes effect when that notice is sent; premium access then ends, no further renewals are charged, and Provider will start a full refund of every payment made for that order, including associated tax and without deducting fees or any amount for access used before cancellation, within a reasonable time, typically within 10 business days. If the Over-Limit Order was an upgrade, Subscriber's prior plan continues as it was before the upgrade, and only the upgrade payments are refunded. If Provider does not cancel within the 30 days, the order continues like any other subscription, except that Provider may decline to renew it at the end of any Billing Period by emailing Subscriber at least 14 days before that renewal date. Keeping an Over-Limit Order does not oblige Provider to keep it beyond its current Billing Period or to keep any other Over-Limit Order, and does not waive or raise the limit for later Checkouts.
Sole remedy. If Provider cancels an Over-Limit Order, the full refund in this Section is Subscriber's sole and exclusive remedy, and Provider's entire liability, for that order, its cancellation, and any premium access not provided as a result. This does not limit liability for Provider's fraud or willful misconduct or liability that law does not allow to be limited, and it does not reduce any other refund owed under Section 4. A cancellation under this Section does not trigger the re-signup lockout in Section 4.6, and Subscriber may join the premium waitlist under Section 7.4.
No claim by other subscribers. The premium limit describes how Provider manages premium membership; it is not an exclusivity right (Section 7.1). An Over-Limit Order, whether kept or canceled under this Section, is not a breach of this Agreement and gives no other Subscriber any claim, refund, credit, or termination right. Provider remains responsible for enforcing the limit at Checkout.
7.4 Premium waitlist. To join and remain on the premium waitlist, the same business must keep an active, paid Delayed Daily subscription ($20/month or $200/year prepaid) for the same trade and Market. Free Weekly and unpaid sign-ups do not qualify. When a premium place opens, Provider checks the next business's subscription status; a business without an active Delayed Daily plan is skipped and the next eligible business is considered. A waitlist entry does not reserve or guarantee a premium place. Ordinary cancellation of renewal preserves eligibility through the paid period; an expired period does not qualify. When a place is offered, Subscriber may upgrade through Checkout, and no premium charge is made unless Subscriber accepts the upgrade price and billing change there.
7.5 Delayed and free plans. Delayed Daily delivers matching permits at least 14 elapsed days old each day, including older records within the stated lookback; there is no automatic day-30 cutoff. Free Weekly delivers matching permits at least 30 elapsed days old in the next weekly batch. Neither has a business limit or needs a premium place. Provider will not give lower-tier feeds, previews, samples, APIs, or outside channels a covered permit before its age threshold. Within this Service, permits less than 14 days old are reserved for the shared premium group. This does not restrict government publication or independent acquisition.
7.6 City issue-date clock. Age starts at the city's reliable permit issue timestamp. A date-only issue field is treated as 00:00 on that date in America/Phoenix. Each elapsed day is 24 hours. Delayed Daily eligibility begins at issue time plus 14 days; Free Weekly at plus 30 days. Signup, ingestion, late publication, reimports, corrections, and plan changes do not restart the clock. Records with a missing, unreliable, or future issue date are withheld from age-qualified feeds until verified. A genuinely new permit has its own issue date.
7.7 Scheduling, history, and plan changes. Eligibility is the earliest permitted release, not a promise of a message at that instant; Free Weekly records may arrive older than 30 days. No minimum volume, complete city coverage, homeowner contact details, or backlog is promised. Lookback, history, filters, and exports are as described on the plan page at purchase. A record need not be resent because it ages or the plan changes. All dashboards, emails, exports, and plan changes apply the same age and plan rules. Plan changes take effect only after Subscriber accepts the new price, effective date, and any proration at Checkout or in the account. An existing premium business upgrading from Daily to Hourly keeps its place. Permit age and the first-month guarantee window do not restart.
8 Subscriber compliance; outreach laws; contractor relationship
Subscriber represents that it is a business acquiring the Service for business purposes, not a consumer, that the person accepting this Agreement is authorized to bind it, and that its account information is accurate. Subscriber must maintain required licenses (including Arizona Registrar of Contractors licensing where applicable), insurance, permits, and qualifications. Subscriber is solely responsible for its advertising, estimates, contracts, workmanship, warranties, job-site safety, subcontractors, employees, and customer disputes. Provider is not the contractor, a customer's agent, a government agency, or a guarantor of Subscriber's work.
Outreach is your responsibility. A permit record or lead is not a request for contact, permission to enter property, proof of interest, consent to calls, texts, or email, or an established business relationship. Before contacting any homeowner or other person identified through the Service, Subscriber must independently determine that its method is lawful and must comply with all applicable laws, including the Telephone Consumer Protection Act and FCC rules (including prior express written consent for marketing calls or texts using an autodialer or an artificial, prerecorded, or AI-generated voice), the Telemarketing Sales Rule and National Do Not Call Registry, Arizona telephone solicitation laws (A.R.S. 44-1271 et seq., including any seller registration), the CAN-SPAM Act, state and local door-to-door solicitation and trespass rules, and privacy and consumer-protection laws. Subscriber must screen numbers against applicable do-not-call lists, keep its own internal do-not-call list, honor opt-outs promptly, identify itself truthfully, and keep the records these laws require. Subscriber shall not imply government or city affiliation, misrepresent its relationship with Provider or a prospect, harass prospects, or discriminate unlawfully. Provider does not conduct outreach for Subscriber.
Provider is responsible for complying with commercial-purpose, charge, and distribution conditions applicable to its own acquisition and onward provision of public records, including A.R.S. 39-121.03 where applicable. Subscriber remains responsible for requirements applicable to its own use. If lawful sourcing or distribution becomes unavailable, Provider will withhold affected records and apply Section 13.
9 Confidentiality, privacy, and data security
Each party shall protect the other's nonpublic business, technical, security, and customer information disclosed under this Agreement, use it only for this Agreement, and disclose it only to personnel or professional advisers who need it and are bound by confidentiality. These duties do not cover information independently developed, lawfully known or obtained without restriction, or publicly available without breach. Underlying public facts are not made confidential by appearing in the Service, but the use and redistribution restrictions still apply to Service-derived materials. A party compelled by law to disclose may disclose only what is required and, where permitted, will give advance notice. Confidentiality duties last three years after termination; trade secrets remain protected while legally protected.
Provider processes business contact details, billing references, user identifiers, account activity, and support communications to deliver and secure the Service, process payments, prevent misuse, comply with law, and enforce this Agreement, as described in the Privacy Notice. Provider uses vendors for these purposes under appropriate confidentiality and security obligations and may use aggregated or deidentified statistics. Provider will not sell Subscriber's account credentials, payment details, or uploaded customer lists. No testimonial or logo use is authorized without separate consent.
Each party shall use reasonable administrative, technical, and physical safeguards. Subscriber shall secure its devices, credentials, CRM, and exports, use available multifactor authentication, and promptly report suspected compromise. Provider will give notice of a security breach involving Subscriber's data as required by applicable law, including A.R.S. 18-552. No system can be guaranteed completely secure.
10 Monitoring and cooperation
Consistent with law and the Privacy Notice, Provider may review access logs, login and delivery records, export identifiers, and complaints to investigate suspected misuse, and may request an explanation and records reasonably limited to the suspected violation. Subscriber shall reasonably cooperate within five business days or an agreed extension. This does not permit inspection of unrelated files, personal devices, or bank records, or access to Subscriber's systems without consent. Unusual usage or a complaint alone does not establish breach; Provider must support a claimed violation with evidence. Subscriber must promptly stop confirmed misuse, revoke unauthorized access, identify known recipients, and use reasonable efforts to secure deletion of improperly disclosed materials.
11 Warranties and disclaimers
Each party warrants it has authority to enter this Agreement. Provider warrants it will perform the Service with reasonable care and substantially as described for the purchased Plan. Subscriber must report a material nonconformity with reasonable detail, and Provider will use reasonable efforts to correct it; if Provider does not, Section 13 applies. This limited warranty is not a guarantee of results or of the accuracy of public records.
EXCEPT FOR THE EXPRESS WARRANTIES IN THIS AGREEMENT AND TO THE EXTENT PERMITTED BY LAW, THE SERVICE AND ALL PUBLIC-RECORD AND THIRD-PARTY INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. PERMIT DATA COMES FROM PUBLIC CITY RECORDS THAT PROVIDER DOES NOT CONTROL. PROVIDER DOES NOT WARRANT THAT ANY RECORD IS ACCURATE, COMPLETE, CURRENT, UNIQUE, CORRECTLY CLASSIFIED, OR AVAILABLE; THAT ANY CONTACT IS THE OWNER OR DECISION-MAKER; OR THAT A PERMIT REPRESENTS UNAWARDED OR PROFITABLE WORK. RECORDS MAY BE DELAYED, DUPLICATED, AMENDED, WITHDRAWN, OR WRONG. SUBSCRIBER MUST VERIFY MATERIAL FACTS BEFORE RELYING ON THEM. NO JOBS, REVENUE, RETURN ON INVESTMENT, LEAD RESPONSE, OR CONVERSION IS PROMISED, AND NO PLAN IS EXCLUSIVE. THE SECTION 4.6 MONEY-BACK GUARANTEE REMAINS AVAILABLE ON ITS TERMS. NOTHING HERE DISCLAIMS THE EXPRESS TIER OR DELIVERY OBLIGATIONS, THE PREMIUM-LIMIT OBLIGATIONS AS DESCRIBED IN SECTION 7.3, OR LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED.
12 Suspension and termination for cause
Provider may immediately suspend access to the extent reasonably necessary to address a credible security threat, unlawful use, or documented evidence of unauthorized access or redistribution. Provider will use reasonable efforts to explain the basis, unless law prohibits it or a delay is needed to preserve evidence or stop active misuse, and will allow a reasonable response. Provider will use reasonable efforts to limit suspension in scope and time and to restore access once the basis is resolved or unsubstantiated. Nonpayment is handled under Section 5.
Either party may terminate for a material breach that remains uncured 15 days after written notice describing it. Provider may terminate immediately on written notice for established intentional resale, knowing outside-business access, deliberate prohibited redistribution, fraud, or a material breach that cannot be cured. No fees accrue for an unjustified suspension; prepaid fees for that period will be credited or refunded. If Provider terminates for Subscriber's breach, accrued amounts remain due, and any claim for further amounts must be pursued as proven net damages.
13 Provider changes, discontinuation, and Subscriber remedies
Provider may end a paid subscription for convenience on 30 days' notice and will refund prepaid fees for any unprovided period, calculated by actual days. Provider may not keep payment for service it elects not to provide.
Subscriber may terminate the affected subscription if Provider materially breaches this Agreement and does not cure within 15 days after detailed written notice, including an uncured breach of the premium limit (an Over-Limit Order handled under Section 7.3 is not a breach), staged-release rules, delivery cadence, or purchased coverage. Subscriber may also terminate if a substantial loss of access or core coverage continues for 10 consecutive days or 20 total days in a rolling 30-day period, excluding failures Subscriber causes. A decline in permit volume alone is not a loss of coverage. On termination under this Section, Provider will refund prepaid fees allocable to the period after termination within a reasonable time, typically within 15 business days. These refunds are not reduced by the liability cap. Mandatory cancellation, refund, or nonrenewal rights override inconsistent terms.
14 Effect of expiration or termination
When a subscription ends, access stops and Provider may allocate any vacated premium place. Within 10 business days Subscriber shall stop new prospecting from retained Service Information, delete Service exports and derived prospecting lists from active systems, instruct permitted recipients to do the same, and confirm compliance on reasonable written request. Subscriber may keep records required by law and records reasonably necessary for customer engagements established before termination, but not to continue resale, outside access, or marketing from a retained lead database. Provisions on accrued payments, ownership, retained-data restrictions, confidentiality, privacy, remedies, indemnity, liability limits, and disputes survive as their nature requires.
15 Remedies for unauthorized use
For an established breach, Provider may seek proven compensatory damages and lawful equitable relief. No liquidated damages, automatic penalty, or fixed breach fee applies. Provider will not charge disputed damages to Subscriber's payment method; collection requires a written settlement or a court judgment. No bond requirement, burden of proof, or nonwaivable defense is waived.
16 Subscriber indemnity for third-party claims
Subscriber shall defend Provider and its members, officers, employees, and agents against third-party claims and regulatory actions to the extent arising from Subscriber's calls, texts, emails, visits, or other outreach (including claims under the TCPA, Do Not Call rules, CAN-SPAM, or state telemarketing laws), unauthorized disclosure or resale, uploaded materials that violate another's rights, or Subscriber's contracting work, advertising, or customer dealings, and shall pay resulting final judgments, approved settlements, and reasonable defense costs. This does not cover a claim to the extent caused by Provider's breach, negligence, unlawful conduct, or willful misconduct. Provider will promptly notify Subscriber of a claim; delay excuses Subscriber only to the extent it is materially prejudiced. Subscriber may control the defense with reasonably qualified counsel, and no settlement may admit Provider fault or impose obligations on Provider without its written consent, not unreasonably withheld.
17 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, REGARDLESS OF THEORY AND EVEN IF ADVISED OF THE POSSIBILITY. PROVIDER'S TOTAL LIABILITY ARISING FROM THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE FEES SUBSCRIBER PAID FOR THE AFFECTED SUBSCRIPTION IN THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
These limits do not apply to Subscriber's payment obligations, Subscriber's indemnity obligations, Subscriber's unauthorized resale, disclosure, outside access, or infringement of Provider's intellectual property, either party's fraud, willful misconduct, or gross negligence, or liability that law does not allow to be limited. Provider's cap does not reduce its express refund obligations. Section 7.3 sets the sole remedy for a canceled Over-Limit Order. Related claims share one cap.
18 Disputes, governing law, and notices
Arizona law governs this Agreement, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Before filing a lawsuit for damages, the parties shall give written notice summarizing the dispute and try in good faith to resolve it for 30 days. This does not delay urgent injunctive relief, a small-claims filing, or an action needed to preserve a limitation period.
Subject to mandatory law and proper jurisdiction, the state courts in Maricopa County, Arizona, and the United States District Court for the District of Arizona have exclusive jurisdiction, and the parties consent to personal jurisdiction there. Either party may use a competent small-claims court. This Agreement does not require arbitration or waive a jury trial or class or collective-action rights. The prevailing party in an action to enforce this Agreement may recover reasonable attorneys' fees and costs as awarded by the court and permitted by law, including A.R.S. 12-341.01.
Notices, receipts, renewal reminders, and price-change notices may be sent to the account email. Email is received when delivered without a failure notice. Notices to Provider go to info@permitleadfeed.com, or by tracked courier to 7337 E Doubletree Ranch Rd, Suite 200-236, Scottsdale, AZ 85258. These methods do not replace formal service of legal process. Each party shall keep its contact details current.
19 Events outside reasonable control
Neither party is responsible for delay caused by events beyond its reasonable control, including natural disasters, government restrictions, widespread communications failures, or unavailability of government data sources despite reasonable efforts. The affected party shall give prompt notice, mitigate, and resume performance when possible. This does not excuse payment for services already provided. If the event prevents core service for the periods in Section 13, Subscriber may terminate and receive the refund described there.
20 General provisions
The parties are independent contractors. No partnership, employment, agency, franchise, fiduciary duty, or earnings guarantee is created. No prospect, customer, or outside contractor is a third-party beneficiary. Subscriber may not assign the subscription without Provider's prior written consent, not unreasonably withheld for a qualified successor that accepts all obligations. Provider may assign this Agreement with its business or relevant assets if the successor assumes its duties and does not reduce purchased coverage, timing protections, or the premium limit.
This Agreement, with the Checkout terms and Order Confirmation, is the complete agreement on its subject and supersedes prior proposals and discussions. Amendments require mutual written or electronic acceptance, except prospective price changes made under Section 4.5. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be narrowed or severed only as needed, and the rest continues. Mandatory law prevails over any inconsistent term.
Each party consents to electronic records and signatures under the Arizona Electronic Transactions Act and federal E-SIGN Act; clicking to accept at Checkout or signup is Subscriber's signature. Subscriber can print or save this Agreement and will receive a link to the accepted version in the Order Confirmation. Provider keeps a record of the accepted version, the Checkout details, the recurring-charge consent, and the acceptance time. A later version of this page does not replace the version Subscriber accepted. The person accepting for Subscriber binds the business and does not personally guarantee payment.
